Please carefully review these terms and conditions below (the “Terms and Conditions” or “Terms”) in their entirety before using our Portal (defined below) BluEV Application, Products and related offers, promotions, applications and programs (collectively referred to as the “BluEV Services” or “Services”). The Terms and Conditions set forth the legally binding terms and conditions governing your use of BluEV Services provided by BluEV and its affiliates and/or subsidiaries. By using BluEV Services, you acknowledge that you have read and accepted the Terms and Conditions. If you do not agree with any of the provisions in the Terms and Conditions in part or in all, please do not use BluEV Services. References to “you” or “your” mean you as a casual visitor, someone who has created a user account for receiving information from us, user of BluEV Services, member, account holder, or customer, as applicable. These Terms govern the use of electric vehicle charging through BluEV Batteries, Swapping Stations and related equipment, service plans, billing services, and BluEV Application.
I. Acceptance of Terms and Conditions
By accessing or using the Services, you confirm your agreement to be bound by these Terms. If you do not agree to these Terms, do not access or use our BluEV Application, or Services. These Terms expressly supersede prior agreements, understandings, or arrangements with you regarding the subject matter of these Terms. Separate supplemental terms may apply to certain Services, such as policies for a particular service plan, program, activity or promotion, and such supplemental terms will be disclosed to you in connection with the applicable Services. Supplemental terms are in addition to, and shall be deemed a part of, these Terms for the purposes of the applicable Services.
BluEV has the right, but not the obligation, to add, change, edit, amend, revise, modify, or remove any portion of the Terms and Conditions at its sole discretion at any time without notice. The updated Terms and Conditions will become effective on the date of publication thereof unless otherwise stipulated in the Terms and Conditions. You will be informed by email, SMS, WhatsApp messenger or through a notification in the BluEV Application once we release an updated version of the Terms, and your continued use of BluEV Services after the publication of the updated Terms and Conditions constitutes your agreement and acceptance of the changes. If you do not agree with any of the amended provisions in the Terms and Conditions in part or in all, please do not use BluEV Services.
a. Eligibility
To apply and register for BluEV Services, you must be a natural person, be eighteen (18) years of age or older, have an Egyptian National Identification Card or a Residency Permit (valid and not expired) or a foreign passport, and have an Egyptian motorcycle driver’s license (original or reissued) or an international driver’s license. However, BluEV has the right to ultimately decide whether or not to approve your application, and BluEV’s approval of your application is not an endorsement or guarantee of your qualifications to legally operate use the Products. You acknowledge and agree that your use or continued use of BluEV Services constitutes your representation that you have the legal capacity or have obtained the permission of your legal guardian(s) to use BluEV Services. If you do not have the legal capacity and have not obtained the permission of your legal guardian(s) to use BluEV Services, please do not use BluEV Services. BluEV only accepts applications submitted under the names of individuals. BluEV applications may not be submitted under the names of any companies, firms, sole proprietorships, partnerships, incorporated entities or other organizations.
When using BluEV Services, you shall only drive an electronic vehicle based on the terms and restrictions noted on your driver’s license. You acknowledge and agree that if you use BluEV Services without a driver’s license or after your driver’s license to operate an electric vehicle has been suspended, revoked or canceled, BluEV will not be liable for your violation of the applicable laws and any penalty, fine, damage and/or loss arising therefrom or in connection therewith; any and all legal ramification therefrom shall be solely borne by you, including without limitation any claims against BluEV that a third party may pursue.
If your driver’s license has been suspended, revoked or canceled, you shall immediately notify BluEV (via BluEV’s customer service number. Upon receiving such notice, BluEV may suspend your use of BluEV Services and may also terminate your BluEV Account without further notice.
II. BluEV Account and Verification Code
To apply and register for BluEV Services, you must upload a copy of your identification and driver’s license (both the front and back) as well as any other necessary information requested by BluEV in order to enjoy the full range of features and functionality of BluEV Services. You hereby undertake to provide true, complete, accurate and the most updated personal information when applying and registering for BluEV Services. You shall be responsible for making sure that the personal information you provide stays updated and accurate at all times and shall notify BluEV if there are any changes thereto so that BluEV may be able to contact you and provide you with BluEV Services. You acknowledge and agree that if you are unable to receive any information relating to BluEV Services from BluEV (including without limitation updates of the Terms and Conditions) or unable to use BluEV Services due to any false, inaccurate, incomplete or outdated personal information you have provided, you shall be solely liable and/or responsible for any and all damage and/or loss arising therefrom or in connection therewith.
You undertake that you have not and will not apply and register for BluEV Services using any name other than your own. You may only apply for and register only one (1) account (“BluEV Account”) to use BluEV Services and may not apply for and register multiple BluEV Accounts. You agree not to sell, lease out, pledge, impose a lien on, mortgage, transfer, assign or otherwise allow a third party to use your BluEV Account and any interests thereunder. You also agree not to share your BluEV Account with any third party. You shall comply with BluEV’s rules and procedures for the creation of BluEV Accounts and the use of verification codes. You acknowledge and agree that the user ID and verification code of your BluEV Account shall remain confidential and you are obligated to safeguard its confidentiality. You are responsible for the safekeeping of the user ID and verification code of your BluEV Account and may not provide or disclose them to any third party.
When the user ID and verification code of your BluEV Account are used to log in to the BluEV system in accordance with the procedures set forth by BluEV, all activities occurring under your BluEV Account are presumed to be undertaken by you regardless if you are the one who logged in to the BluEV system. You agree to be solely responsible for all activities occurring under your BluEV Account. When you become aware of any actual or suspected theft or unauthorized use of your BluEV Account, please contact BluEV immediately at our customer service number. When BluEV becomes aware of any unauthorized use of your BluEV Account, BluEV will immediately notify you and temporarily suspend the provision of BluEV Services to your BluEV Account. You shall be solely liable and/or responsible for any and all damage and/or loss arising from your BluEV Account if the theft or unauthorized use thereof is due to any of the following causes:
- your failure to safeguard the user ID or verification code of your BluEV Account;
- your disclosure of the user ID or verification code of your BluEV Account to any third party;
- your failure to follow the security protocol of BluEV Accounts set forth by BluEV; or
- other causes attributable to you.
We may use the phone number you provide to us in your user account profile to provide you with service messages and updates. By becoming a user, you are consenting to the receipt of these communications.
BluEV may immediately terminate these Terms and Conditions or terminate or suspend any BluEV Services with respect to you, or generally cease offering or deny access to the BluEV Services or any portion thereof, at any time for any reason in its sole discretion. If BluEV elects to terminate your BluEV Account and/or your use of the BluEV Services, then you will be responsible for payment for any BluEV Services used, but not yet paid for, and any other fees due hereunder, as of the date of such termination. In addition, if applicable, BluEV may collect damages from you in connection with any breach of the Terms and Conditions by you and may exercise any other remedy available to BluEV hereunder, at law or in equity.
a. Access Credentials
After completing registration for a BluEV Account, you will be permitted access to the Services using a valid authentication method, which may include a QR Code, a mobile authentication method, and/or other method (collectively, “Access Credential”) which will be linked to your BluEV Account. Your Access Credential will enable you to use and/or return BluEV batteries (the “Battery” or “Batteries”) at the designated BluEV swapping stations (“Swapping Station(s)”) through the BluEV mobile application (the “BluEV Application” or “BluEV App”).
You agree that you are responsible for all charges incurred through use of the Access Credential assigned to you and linked to your BluEV Account. In the event of a lost or stolen Access Credential, you are responsible for immediately notifying BluEV by calling our customer service number. You agree to be liable for any and all charges incurred due to usage of the lost or stolen or unauthorized access to your Access Credential until BluEV has been notified.
III. BluEV Services
You agree to use BluEV Services based on the principle of fair use and in accordance with these Terms and Conditions. You may not occupy any Battery for a period exceeding seven calendar days or use it Battery or Swapping Station in a manner other than the purposes set out in these Terms and Conditions or other applicable instructions found in the BluEV Services; otherwise, BluEV may immediately halt the provision of BluEV Services to you and retrieve the Battery in your possession, terminate your BluEV Account, and pursue a claim against you for any and all damage and/or loss arising therefrom or in connection therewith, including but not limited to loss of business. It is explicitly recognized by you that if you use a Battery for a period exceeding seven calendar days, BluEV will notify you via text message or phone call confirming your continuing use of BluEV Services. In the event of any failure of you to confirm your continuing using of the Battery via text message or phone call, or your failure to reply to the above-mentioned text message/ phone call constitutes, you shall be deemed to occupy any Battery repeatedly or for a prolonged period of time and to prevent other users from renting any Battery, violating the said principle of fair use. In this case, BluEV may still charge for the rental incurred while dealing with your violation of the principle of fair use per the above-mentioned disposals. You acknowledge if the Battery you rented is not returned to one of the designated Swapping Station provided in the BluEV App, BluEV will charge you a transport fee (the amount depends on factors such as distance, time and weather), parking fee and road tolls, and for the loss of business and other necessary expenses resulting therefrom. You acknowledge and agree that BluEV can only provide you with the BluEV Services when and where there are Batteries and Swapping Stations available, and that BluEV does not guarantee that there will always be Batteries or Swapping Stations available near you. You may review your rental records in the BluEV App. If you have any questions regarding the rental records, please contact us through our customer service number within seven (7) days following the issuance of the invoice. You acknowledge and agree that the BluEV Services may be interrupted, experience malfunctions, have delays, or encounter errors during data transmission or storage due to failures of the network system, hardware, software or equipment of the telecommunications carriers or payment service providers, the occurrences of natural disasters or other force majeure events. If such event causes any delay in your schedule due to the unavailability of the Products or your inability to complete the return procedure in time, BluEV will not be liable therefor and reserves the right to reduce or waive the relevant fees.
a. Usage of Products
You may search for and reserve an available Battery at a Swapping Station near you through the BluEV App. You shall pick up the reserved Battery within the timeframe indicated by the BluEV Application; otherwise, your reservation will be canceled. You are obligated to abide by the BluEV App instructions provided with regards to the Battery, Battery swapping process and any all instructions pertaining to Swapping Station and any of the BluEV Services. BluEV Swapping Stations may be located and hosted on a third party’s property (such third party is referred to as a “Host”). As such, you agree to observe and obey any and all rules set by Hosts pertaining to their property and the use of BluEV Swapping Stations on such Host properties, including, but not limited to, general customer or visitor conduct, parking restrictions, parking time limitations, and hours of operation. You are solely responsible for any damage, fees, penalties or loss caused by your noncompliance with any Host rules. In the event of any Product malfunction or other technical issue with your Access Credential, Battery or a Swapping Station, please call our customer service number or the contact number located on the BluEV Swapping Station. To ensure the quality of the BluEV Services, you consent to BluEV monitoring and recording calls between you and BluEV. We normally delete the files containing these calls every ninety days but we reserve the right to retain them if we believe retention is needed. IN THE EVENT OF AN EMERGENCY OR ANY SITUATION THREATENING SERIOUS INJURY TO PROPERTY OR HUMAN LIFE, IMMEDIATELY DIAL 1-2-2 AND FOLLOW THE INSTRUCTIONS YOU ARE GIVEN.
b. Lost or Damaged Battery; Additional Fees.
The ride time data generated by the Battery/system is conclusive evidence of the period of your use of a Battery. Your use of the Battery is limited to a period of seven (7) calendar days, once this period has elapsed, the BluEV Application will provide you with a warning to return the Battery. Any use that exceeds a period of seven (7) calendar days is deemed a disappearance of the Battery until it is found or returned to one of the designated Swapping Station. If the Battery is not returned to one of the designated Swapping Station, in accordance with the BluEV Application within a period of forty eight (48) consecutive hours from the date of the BluEV Application warning, then the Battery is deemed lost or stolen, You will be charged the equivalent to the bill of trust signed by you, and a police report may be filed with local authorities. You must return the Battery in the same condition in which you rented it. Without prejudice to your notification obligations in case of damage to the Products, if the Battery is returned to the designated Swapping Station damaged or in a state of disrepair, then you will be charged a fee that is equal to the cost of repair. Such fees may be charged as soon as 24 hours after Battery is not returned or is returned in a damaged state. For any disappearance of a Battery that was released using your BluEV Account, you must report the disappearance to the BluEV in accordance with Section VI as applicable, immediately following the disappearance and take all steps as instructed by BluEV afterwards.
IV. Prohibited Acts.
You may not operate a Battery outside of the territory designated when reserving the Battery. You may not modify, dismantle, write on, or otherwise alter or deface a Battery, Swapping Station, Product or any other BluEV device or any of its parts thereof in any way. You may not write on, peel, or otherwise modify or deface any sticker or logo on a Battery or Swapping Station in any way. You may not use a Battery, Swapping Station or Product for any advertising or similar commercial purpose. You may not attach anything to a Battery or Swapping Station You may not use the Battery in dangerous areas, roads and/or weather conditions. You may not allow others to use a Battery that you have unlocked or removed from a Swapping Station. You may not leave a Battery that you have unlocked or removed from the Swapping unattended at any time. Any Battery that is not properly secured remains your sole responsibility, and the usage and/or lost Battery fees described in Section III (b) will be charged as applicable. YOU UNDERSTAND AND ASSUME THE RISKS OF YOUR VIOLATION OF ANY PROHIBITED ACT SET OUT IN THIS SECTION. SUCH RISKS ARE SIGNIFICANT AND INCLUDE INJURY OR DEATH TO YOU AND OTHERS, DAMAGE TO OR DESTRUCTION OF YOUR AND OTHERS’ PROPERTY, AND THE POTENTIAL THAT YOU WILL BE CITED OR ARRESTED FOR VIOLATION OF APPLICABLE LAWS.
V. Directions and Additional Terms of Use.
a. Battery Inspection.
Before each use of a Battery, You must conduct a visual inspection of the Battery, which you acknowledge you are competent to do, and which includes inspecting for all of the following: that the Battery is properly installed and locked in the Drive Train and that there is no sign of damage, unusual or excessive wear, or other mechanical problem or maintenance needed. You may not use a Battery if you notice any mechanical or other problem or safety issue; and, in such case, you must promptly notify BluEV of all problems and issues and use a different Battery. You agree to contact BluEV’s customer service immediately after receiving a battery that you notice has any mechanical or other problem or safety issue. You must not attempt to repair any faulty Battery.
VI. Additional Terms of Use
You must report to the police and to BluEV at our customer service number as soon as possible, in no event later than 24 hours, after the occurrence of (i) any crash, damage, loss, or personal injury while using the Products or the BluEV Services, (ii) any vandalism of any of the Products or Services, or (iii) any stolen or lost Product
a. Authorized Batteries
For your safety, BluEV only permits the use of BluEV Batteries with, the Approved Electric Vehicles (defined below) and Swapping Stations. BluEV prohibits the use of all other batteries (“Unauthorized Batteries”) on the Swapping Stations and/or in connection with the Terms and Conditions identified herein. You understand, accept, and agree to fully comply with these terms. You also agree to accept all liability for any and all loss, harm, or damage experienced by you or any other party caused by your use of Unauthorized Batteries in connection with your use of BluEV’s Products, Swapping Stations or the Terms and Conditions identified herein. Finally, you agree to indemnify, defend, and hold BluEV harmless for any damage experienced by any party that is caused by your failure to comply with these terms.
b. Approved Electric Vehicles, Prohibition of Home-Built Electric Vehicles and Modified Vehicles
As stipulated herein, BluEV only allows you to use standard, industry-manufactured and recognized electric vehicles with the Products, and/or in connection with the BluEV Services and these Terms and Conditions (“Approved Electric Vehicles”). BluEV prohibits the use of all home-built electric vehicles and/or modified electric vehicles (“Unauthorized Vehicles”). You understand, accept, and agree to fully comply with these terms. You also agree to accept all liability for any and all loss, harm, or damage experienced by you or any other party caused by your use of Unauthorized Vehicles in connection with the Products, or with the Terms and Conditions identified herein. Finally, you agree to indemnify, defend, and hold BluEV harmless for any damage experienced by any party that is caused by your failure to comply with these terms.
c. Returning Product(s).
To return a Battery, select "Return Battery" or a similar option that indicates returning a Battery on the BluEV Application, the BluEV App will display information about the Battery you're returning. Confirm that it matches the Battery you have. After selecting the Swapping Station, press the "Initiate Return" or similar button to begin the return process, follow the instructions carefully on the Swapping Station’s screen, which may include placing the Battery in the designated compartment and locking it, Once the return process is complete, you will receive a confirmation message/notification on the BluEV Application. Batteries that have not been properly handed over will remain as your sole responsibility. You understand that the Battery is temporarily placed in your possession by BluEV as a safekeeper therefor and that you undertake to return the Battery in the condition in which it had received it (minus normal wear and tear) within 24 hours of BluEV’s request. Nothing in these Terms and Conditions states or even implies that you have any ownership over any of the Products.
VII. Services for Personal Use Only
Unless otherwise agreed to by BluEV in signed writing, you shall not in any manner, directly or indirectly, resell or allow your BluEV Account, the Services, the Products or any BluEV equipment to be used by another person or entity.
VIII . Restrictions
You may not use the BluEV Services (i) in any way that could cause harm, nuisance, annoyance, inconvenience, damage or adversely affect any Person or BluEV’s or the Host’s reputation or property, including the Products, or (ii) in any way prohibited by these Terms, any supplemental terms or other BluEV policies. Additionally, you may not attempt to repair, physically modify, reverse engineer or derive source code from any of the BluEV Application or the Products. You acknowledge and agree that BluEV has reserved all right, title, and interest in and to intellectual property associated with the BluEV Application, the Products and their applicable equipment and that you shall take no action that would cause, or by inaction permit, any impairment of any right, title, and interest of BluEV in such intellectual property and to otherwise respect the legal rights of BluEV
IX. License, Use & General Restrictions
Subject to your continued compliance with these Terms, BluEV grants you a limited, non-exclusive, non-sublicensable, revocable, non-transferable license to: (i) access and use BluEV’s website (the “Portal”), BluEV Application and related services solely in connection with your use of the BluEV Services; and (ii) access and use any content, information and related materials that may be made available through the Portal and/or BluEV Application, in each case solely for your personal, noncommercial use. Any rights not expressly granted herein are reserved by BluEV.
The BluEV Application provides information regarding your BluEV Account, swapping history and Swapping Stations including the locations of Swapping Stations, Battery availability, trip mapping, and other content and features BluEV may make available, and provide you general access to utilize the BluEV Services. You are responsible for all use of the BluEV Application under your username and/or by use of your password.You acknowledge and agree that BluEV may modify the Portal and BluEV Application in any way and at any time, with or without notice. You further acknowledge and agree that, while BluEV has attempted to provide accurate information on the Portal and the BluEV Application, such information may change frequently and in no event will BluEV be responsible for the accuracy, timeliness, reliability, usefulness, or completeness of any information, materials, or other content, or that any such information, materials, or other content is the most up-to date. BluEV does not represent or warrant that the Portal or BluEV Application will be error-free, free of viruses or other harmful components.
You may not: (i) remove, obscure, or modify any copyright, trademark or other proprietary notices from any portion of the Site and/or BluEV Application; (ii) reproduce, modify, prepare derivative works based upon, distribute, license, lease, sell, resell, transfer, publicly display, publicly perform, transmit, stream, broadcast or otherwise exploit the Portal and/or BluEV Application except as expressly permitted by BluEV; (iii) decompile, reverse engineer, or disassemble the Site and/or BluEV Application; (iv) link to, mirror or frame any portion of the Site and/or BluEV Application; (v) cause or launch any programs or scripts for the purpose of scraping, indexing, surveying, or otherwise data mining any portion of the Portal and/or BluEV Application App or that unduly burden or hinder the operation and/or functionality of any aspect of the Portal and/or BluEV Application; (vi) attempt to gain unauthorized access to or impair any aspect of the Portal and/or BluEV Application App or its related systems or networks; (vii) impersonate or attempt to impersonate us, our employees, another user or any other Person (including, without limitation, by using email addresses or screen names associated with any of the foregoing); or, (viii) attack the Portal and/or BluEV Application App via a denial-of-service attack or a distributed denial-of-service attack.
X. Suspension of Service
Suspension. We may suspend your account and access to the Service, with or without notice, if you violate any provision of these Terms.
The Effects of Account Suspension. Upon any suspension of your account, all Service associated with your account will be suspended or otherwise made inaccessible until and unless all issues are addressed and resolved by you, to our satisfaction, and within the time frame we specify. During any suspension of your account or any individual Service, you will not be permitted to: (i) add, upgrade, downgrade or modify any of the Service; (ii) request an emergency restoration; (iii) transfer any Service; (iv) access any of the BluEV Application, email accounts or Content associated with the suspended Service or account. You agree to hold us harmless from and against any and all claims, losses or damages arising from any suspension of your account or the individual Service. The only service that you may have access to is to return the Battery.
Xi. Miscellaneous.
a. Term and Termination.
These Terms shall commence upon your use of the Portal, BluEV Application APP, or any of the BluEV Services and shall continue until terminated.
At any time and from time to time, and without your consent, BluEV may unilaterally terminate your right to use any of the Products, Application or Services, in BluEV’s sole discretion and without any notice or cause.
you may terminate your use of the Products or Services at any time; provided, however, that (i) no refund will be provided by BluEV, (ii) the term of these Terms continues in accordance with this Section, and (iii) You may still be charged any applicable additional fees arising under these Terms. These Terms remain in full force and effect, in accordance with its terms and conditions, after any termination of your right to use any of the BluEV Services, regardless of how these Terms are terminated.

XII. Choice of Law; Dispute Resolution.
These Terms are governed by, and must be construed and enforced in accordance with, the laws of Arab Republic of Egypt. For every dispute regarding these Terms each party consents to the jurisdiction of the Egyptian courts.
XIII. Waivers.
No waiver of any breach of any provision of these Terms is a waiver of any other breach or of any other provision of these Terms. The terms of these Terms may be waived or amended only in writing and only by the party that is entitled to the benefits of the term being waived or amended.
XIV. Privacy Policy.
By agreeing to the use of the BluEV Application, Products and/or BluEV Services, you recognize and accept that we can collect, use and share: (i) the information you provide, usage information, and information about your device. We also collect information about you from other sources like service providers, and optional programs in which you participate, which we may combine with other information we have about you. (ii) the information you provide in your application and on the relevant KYC forms, including your name, email address, phone number, birth date, profile photo, physical address, government identification number, driver’s license information and insurance information. We collect the payment information you provide us, including your bank routing numbers, and tax information. (iii) location information (including GPS and Wi-Fi data, IP address, and Bluetooth data) and information pertaining to the performance of the App, Products and/or Services through your usage of them (iv) ride information like the date, time, destination, distance, route and payment. You also recognize and accept that our Products or trackers may collect, use and share mobile sensor data, such as speed, direction, height, acceleration, deceleration, and other technical dat
XV. Cumulative Remedies.
All rights and remedies granted under or referred to in these Terms are cumulative and nonexclusive, and resort to one does not preclude the availability or applicability of another or to any other right, remedy or defense provided by law
XVI. Final Agreement; Modification by BluEV
These Terms supersede all other prior agreements, written or oral, relating to such subject matter. At any time and from time to time, and without Your consent, BluEV may unilaterally amend, modify, or change these Terms, in its sole discretion and without any notice or cause, and by continuing to use any of the Products and/or Services after any amendment, modification, or change, You have agreed to be bound by all such amendments, modifications, and changes. You must carefully review these Terms on a regular basis to maintain awareness of all amendments, modifications, and changes.
XVII. Indemnity
You hereby agree to fully indemnify BluEV and its successors and assignees at all times against, and to hold them harmless from, all claims, losses, damages, liabilities, demands, actions, proceedings, costs, expense (including legal and attorneys’ costs) and deficiencies that they may suffer, incur or sustain in relation to or arising out of your breaches, acts or omissions, bad faith or gross negligence under these Term
XVIII. Severability.
If any provision of these Terms or the Agreement (or part of a provision) is found by any court or administrative body of competent jurisdiction to be invalid, unenforceable or illegal, the other provisions shall remain in force. If any invalid, unenforceable or illegal provision would be valid, enforceable or legal if some part of it were deleted or modified, the provision shall apply with whatever modification is necessary to give effect to the commercial intention of the parties.
Failure by either party to exercise or enforce any of its rights hereunder shall not be deemed to be a waiver of such right nor operate so as to bar the exercise or enforcement thereof. Any waiver of any term by the Intermediary will only be effective if it is in writing.
Definitions:
“Drive Train” means a powertrain with an electric motor, electronic control unit, vehicle dashboard and wire harness that transfers power to the E-bike. The electronic control unit manages electricity flow, and the wire harness connects components, making it a compact and efficient setup.
“E-Bike” means the electric bikes.
“KYC” means Know Your Customer
